AuditSpine Terms of Use
These Terms apply to public access and use of AuditSpine public websites, published materials, and related public-facing services. By using this public site, you agree to these Terms.
1. Entity and Product Context
Viride, LLC operates AuditSpine as a product. Public content is informational and does not itself create a customer services agreement.
2. Third-Party Platform Terms Incorporated by Reference
To the extent applicable to service operation and delivery, AuditSpine may rely on third-party platforms, SDKs, and AI services. Applicable third-party terms, privacy notices, and policy obligations are incorporated by reference, including where accepted via account terms, click-through agreements, console acceptance, API onboarding, or workspace admin settings.
- Google Workspace, Firebase, Google Cloud, and Gemini-related terms/policies.
- GitHub and GitHub Copilot-related terms/policies.
- Anthropic Claude and Claude Code-related terms/policies.
- OpenAI-related terms/policies where OpenAI tools are used.
- Microsoft-related terms/policies where Microsoft services are used.
- Databricks and Snowflake terms/policies where those platforms are used.
- Other providers used from time to time under their applicable terms.
We believe these provider terms apply where their services are used, we believe we follow them, and we update our practices as those terms evolve. For current terms and policy versions, check each provider's official site.
3. Agent and Human Work Model
AuditSpine may use humans and/or software agents (including multiple agent providers and versions) interchangeably to fulfill work, quality controls, and delivery commitments, unless a customer-specific agreement states otherwise.
4. No Restriction to a Single Agent Vendor or Version
AuditSpine does not guarantee use of any specific AI agent, vendor, model family, or model version. Tooling decisions may change based on reliability, safety, availability, legal terms, and customer requirements.
5. Signature Authority and Accountability
Any individual signing or accepting terms on behalf of an organization represents and warrants that they are authorized to bind that organization. If a person acts without required authority, that person may be personally responsible to the maximum extent permitted by applicable law.
6. Agent-Executed Actions
Actions or acceptances executed by software agents are deemed actions of the organization and/or person who deploys, controls, or directs that agent for the relevant transaction, to the maximum extent permitted by law.
7. Individual and Collective Responsibility
Where permitted by law and contract, responsibility may be allocated on an individual basis and on a collective basis among bound parties, including joint and several allocation where expressly agreed in customer-specific agreements.
8. Public-Site Disclaimer and Warranty Limitations
AuditSpine applies reasonable operational precautions, but does not guarantee complete accuracy, completeness, or suitability of public information for any specific use.
Compliance commitments are made based on documented controls and accepted provider terms in scope; no statement on this public site should be interpreted as a blanket certification of full compliance across every external provider, account, and service in all contexts.
9. Customer Agreements Control
For paying or pilot customers, customer-specific signed agreements (such as MSA, order form, NDA, data/security addenda) govern in the event of conflict with these public Terms.
10. Limitation of Liability
To the maximum extent permitted by law, AuditSpine and Viride, LLC are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from public-site use.
11. Upstream Service Dependency and Availability Limits
AuditSpine may depend on third-party cloud and platform providers. We do not promise availability, performance, or uptime beyond what those providers deliver under their own terms, policies, and service commitments.
Even where individual AuditSpine components are engineered for higher reliability, outages or service degradation at upstream providers can affect overall service outcomes.
12. Governing Law
Unless superseded by a customer-specific agreement, these public Terms are governed by applicable U.S. law and Colorado law principles.
